Welcome to goodChatBot. These Terms of Service ("Terms") govern your access to and use of the goodChatBot website, software, services, tools, integrations, and related features (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
goodChatBot provides AI-powered chatbot and related automation services for online businesses, including eCommerce stores and websites. Our Services may include chatbot setup, customization, integrations, AI-based responses, analytics, support tools, and related features.
You may use our Services only if you are legally able to enter into a binding agreement, you are using the Services for lawful business or personal purposes, and you provide accurate and complete information when requested.
If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
To access certain features, you may need to create an account or provide store, website, or platform access. You are responsible for maintaining the confidentiality of your account credentials, restricting access to your account, ensuring that all activities under your account are authorized, and providing accurate and updated information.
You must notify us promptly if you believe your account or access credentials have been compromised.
goodChatBot uses artificial intelligence, automation, third-party integrations, and store data to generate responses and provide assistance.
By using the Services, you understand and agree that AI-generated responses may not always be accurate, complete, or up to date. The chatbot may occasionally produce incomplete, incorrect, or unexpected outputs. You are responsible for reviewing and validating chatbot behavior before relying on it for important business, legal, medical, financial, or operational decisions. Human review may still be necessary in many cases.
We do not guarantee that the Services will always produce error-free, accurate, or business-appropriate responses in every situation.
You may provide us with content, data, product information, policies, FAQs, documents, store information, and other materials ("Customer Content") in connection with the Services.
You retain ownership of your Customer Content. By using the Services, you grant us a limited, non-exclusive right to host, use, process, transmit, display, and analyze Customer Content solely for the purpose of providing, maintaining, improving, supporting, and securing the Services.
You represent and warrant that you own or have the necessary rights to provide Customer Content, your Customer Content does not violate any law or third-party rights, and your Customer Content does not contain unlawful, infringing, deceptive, or harmful material.
You agree not to use the Services for any unlawful, fraudulent, deceptive, or abusive purpose; to violate any applicable laws, regulations, or third-party rights; to generate, distribute, or promote harmful, defamatory, infringing, or misleading content; to store or transmit malicious code, spam, or harmful material; to interfere with, disrupt, or compromise the security or performance of the Services; to attempt unauthorized access to our systems, accounts, or integrations; or to use the Services in a way that may harm customers, users, merchants, or third parties.
We reserve the right to suspend or terminate access if we believe your use violates these Terms or creates risk for us, our users, or third parties.
Our Services may connect with third-party platforms, apps, services, APIs, payment providers, eCommerce systems, analytics tools, email tools, or hosting providers. Your use of those third-party services is subject to their own terms, policies, and practices.
We are not responsible for third-party products, services, downtime, data handling, platform changes, or disruptions caused by external integrations.
Some parts of the Services may be offered on a paid basis, including setup fees, subscription fees, usage-based charges, support fees, or custom service fees. By purchasing paid Services, you agree that you will pay all applicable fees as agreed, fees are due according to the billing terms provided at the time of purchase, payments may be non-refundable unless clearly stated otherwise in writing, and late or failed payments may result in suspension or termination of Services.
We may change pricing for future billing periods by providing reasonable notice where required.
We may offer free trials, demos, pilot programs, or beta features from time to time. These may be modified, limited, or discontinued at any time. Unless otherwise stated, such offerings are provided "as is" without warranties and may contain bugs, limitations, or incomplete features.
All rights, title, and interest in and to the goodChatBot Services, including software, design, branding, text, graphics, interfaces, workflows, and related materials, remain the property of goodChatBot or its licensors.
These Terms do not grant you ownership of our Services or intellectual property. You may not copy, reproduce, distribute, modify, reverse engineer, resell, or create derivative works from our Services except as permitted by law or with our prior written consent.
We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free availability. The Services may be affected by scheduled maintenance, technical issues, third-party outages, platform or API changes, internet or hosting disruptions, security incidents, or force majeure events.
We may update, modify, suspend, or discontinue any part of the Services at any time.
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, goodChatBot disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
We do not warrant that the Services will meet all of your requirements, will be uninterrupted, secure, or error-free, or that outputs generated by the Services will always be accurate, reliable, or suitable for your intended purpose.
To the fullest extent permitted by law, goodChatBot and its owners, affiliates, employees, contractors, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunity, or customer relationships.
Our total liability for any claim arising out of or related to the Services shall not exceed the amount you paid to us for the Services during the three (3) months preceding the event giving rise to the claim, or USD $100, whichever is greater.
You agree to defend, indemnify, and hold harmless goodChatBot and its affiliates, officers, employees, contractors, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from your use of the Services, your Customer Content, your violation of these Terms, or your violation of any law or third-party rights.
We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, fail to pay fees when due, your use creates legal, security, operational, or reputational risk, or we are required to do so by law or a third-party provider.
You may stop using the Services at any time. Any provisions that by their nature should survive termination will continue to apply, including provisions relating to payments, intellectual property, disclaimers, limitations of liability, and indemnification.
Your use of the Services is also subject to our Privacy Policy. Please review it to understand how we collect, use, and protect information.
We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction stated in your contract, proposal, or order form, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless otherwise agreed in writing.
